Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of the BuildIQ platform ("Service") operated by Syvanto Pvt Ltd ("Syvanto", "we", "us", or "our"). By creating an account, clicking "I agree", or otherwise accessing or using the Service, you agree to be legally bound by these Terms.

You must be at least 18 years of age to use BuildIQ. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not use the Service.

2. Description of service

BuildIQ is a cloud-based construction intelligence platform that provides AI agents, data integrations, analytics, document intelligence, and workflow automation tools designed specifically for the construction and built environment industries. The Service includes:

• AI-powered project risk and cost intelligence
• Integration connectors for leading construction software tools
• Document analysis and management capabilities
• Live intelligence feeds and agentic workflows
• Role-based dashboards and reporting

Syvanto reserves the right to modify, update, or discontinue features of the Service with reasonable notice to users.

3. Account registration

To access most features of BuildIQ, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your login credentials confidential and not share them with others
• Be responsible for all activity that occurs under your account
• Notify Syvanto immediately at security@syvanto.com if you become aware of any unauthorised use of your account

Syvanto reserves the right to suspend or terminate accounts that provide false information or violate these Terms.

4. Acceptable use

You agree to use BuildIQ only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to harm, harass, or deceive others
• Attempt to reverse-engineer, decompile, or disassemble any part of the platform or its underlying AI models
• Scrape, crawl, or systematically extract data from the Service
• Share account credentials or allow unauthorised third parties to access the Service
• Upload or process data that you do not have the legal right to use, share, or store
• Violate any applicable local, national, or international laws or regulations
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure
• Attempt to gain unauthorised access to any part of the Service or its related systems

5. Subscription and billing

Plans and pricing

BuildIQ is offered on subscription plans billed monthly or annually. Current pricing is available at buildiq.app/pricing. Prices are displayed in the currency selected at checkout and are inclusive of any applicable taxes unless stated otherwise.

Free trial

New accounts are eligible for a 14-day free trial of the platform. No credit card is required to start a trial. At the end of the trial period, you may choose a paid plan or your account will revert to a limited free tier.

Payments and renewals

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. Payment is processed by Stripe. You authorise Syvanto to charge your nominated payment method at each renewal.

Refunds

Monthly subscriptions are non-refundable. For annual subscriptions, a pro-rata refund is available if you cancel within 30 days of the start of the billing period. After 30 days, no refund is available for the current annual term.

6. Data ownership

You own all data you import, create, or generate within BuildIQ. Syvanto claims no ownership, licence, or right over your construction project data, documents, financial records, or any other data you introduce to the platform.

You grant Syvanto a limited, non-exclusive, revocable licence to process and store your data solely for the purpose of delivering the Service to you. This licence terminates when you delete your data or close your account.

7. AI and agent outputs

BuildIQ's AI agents and analytics provide recommendations, predictions, and intelligence outputs to assist decision-making. These outputs are advisory only. You are solely responsible for any decisions made based on AI-generated outputs, including financial, operational, safety, or contractual decisions.

Syvanto does not guarantee the accuracy, completeness, or fitness for purpose of any AI output. AI models may produce incorrect or outdated results. You should independently verify AI recommendations before acting on them in high-stakes situations.

8. Intellectual property

Syvanto owns all intellectual property rights in the BuildIQ platform, including its source code, AI models, user interface designs, trademarks, trade names, and documentation. Nothing in these Terms transfers any IP rights to you other than the limited right to use the Service as described here.

You retain all intellectual property rights in your data. By using BuildIQ, you grant Syvanto a limited licence to process your data solely to provide and improve the Service. We will never claim ownership of your data or use it for purposes beyond service delivery without your explicit consent.

9. Confidentiality

Syvanto treats all customer data as confidential. We will not disclose your data to third parties except as required to deliver the Service (via authorised sub-processors), comply with legal obligations, or as permitted by our Privacy Policy.

10. Service availability

Syvanto aims to maintain 99.9% uptime for the BuildIQ platform, measured monthly. Planned maintenance windows will be communicated at least 48 hours in advance via email and in-platform notification.

We are not liable for downtime resulting from events outside our reasonable control, including third-party infrastructure failures, denial-of-service attacks, or force majeure events.

11. Limitation of liability

To the maximum extent permitted by applicable law, Syvanto's total aggregate liability to you for any claims arising out of or relating to these Terms or your use of the Service is limited to the fees you paid to Syvanto in the 12 months immediately preceding the event giving rise to the claim.

In no event will Syvanto be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, even if Syvanto has been advised of the possibility of such damages.

Nothing in these Terms excludes liability that cannot be excluded under Australian consumer law, including liability for death or personal injury caused by negligence.

12. Indemnification

You agree to indemnify, defend, and hold harmless Syvanto and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Service in violation of these Terms
• Data you submit to the Service that infringes on third-party rights
• Your breach of any applicable law or regulation

13. Termination

Either party may terminate the agreement by providing 30 days written notice. You may cancel your subscription at any time through your account settings.

Syvanto may terminate or suspend your account immediately, without prior notice, if you materially breach these Terms, engage in fraudulent activity, or pose a security risk to the platform or other users.

Upon termination, you will lose access to the Service and your data. We will retain your data for 30 days following termination, during which you may request an export. After 30 days, your data will be permanently deleted.

14. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms that cannot be resolved through good-faith negotiation will be referred to binding arbitration in Sydney, NSW, conducted in accordance with the Australian Centre for International Commercial Arbitration (ACICA) rules. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

15. Changes to these terms

Syvanto may update these Terms from time to time. For material changes, we will provide at least 30 days notice by email before the new Terms take effect. Continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.
